Ad-hoc announcement
Section 15 of the German Securities Trading Act (WpHG) requires the issuers of securities to publish news from the company that is likely to affect its share price in the form of an ad-hoc announcement without delay. Such announcements ensure that all participants in the market have equal access to information. The rule applies to securities entitled to trade on the Official Market or Regulated Market at a German stock exchange. Securities traded in the Open Market (Regulated Unofficial Market) are exempted from this requirement.
AG
An AG is a German stock corporation with a distinct legal identity, the capital stock of which is divided up into shares. The legal basis for the AG is the German Companies Act (AktG). The owners of an AG are referred to as shareholders. The law defines three mandatory management bodies for an AG: the management board, the supervisory board and the shareholders’ meeting.
